Terms and Conditions

1. Glossary of Terms

For the purposes of these Terms and Conditions, the following words and expressions shall have the meanings set out below:

  • “Attendee(s)” – any individual(s) nominated by the Customer to attend a Course.

  • “Booking Form” – the written or online form submitted by the Customer to confirm a Provisional Booking.

  • “Company” – Solent Training Solutions Limited.

  • “Course” – the training event, session, or programme provided by the Company.

  • “Course Date” – the agreed date(s) on which the Course is scheduled to take place.

  • “Customer” – the organisation or individual entering into an agreement with the Company for the provision of Services.

  • “Fee(s)” – the charges payable by the Customer for the Course(s) as set out in the Company’s quotation, Booking Form, or invoice.

  • “Location” – the premises, venue, or online platform where the Course is delivered.

  • “Provisional Booking” – a booking made by telephone or email which has not yet been confirmed by submission of a completed Booking Form.

  • “Services” – the training, consultancy, or related services provided by the Company under these Terms and Conditions.

  • “Trainer/Consultant” – the individual engaged by the Company to deliver the Course or Services.

  • “Working Day” – any day other than a Saturday, Sunday, or a public holiday in England and Wales.

2. Bookings

2.1 A booking is confirmed once the Company receives a completed Booking Form and/or payment (or purchase order if agreed).
2.2 By booking a
Course, the Customer agrees to these Terms and Conditions.

3. Appointment (Provisional and Confirmed Bookings)

3.1 Provisional Bookings of the Services may be made by the Customer via telephone. However, all Provisional Bookings must be confirmed in writing by the Customer submitting a completed Booking Form (including submission online) within the timescales set out in this clause 3.

3.2 All Booking Forms must be returned within five (5) Working Days of the Provisional Booking being made.

3.3 Where the Course Date is within the next five (5) Working Days, the Booking Form must be returned within forty-eight (48) hours of the Provisional Booking being made.

3.4 Where the Course Date is the next Working Day, the Booking Form must be returned within two (2) hours of the time of the Provisional Booking, or by close of business on that same Working Day (whichever is sooner).

4. Our Obligations

4.1 Subject to the Customer’s compliance with these Terms and Conditions, the Company shall:

  • Use reasonable endeavours to provide the Services at the agreed Location on the Course Date and provide the Customer and Attendees with reasonable access to the Location for the purpose of attending a Course.

  • Exercise reasonable skill, care, and diligence in providing the Services.

  • Deliver all Services in English.

  • Be permitted to assign or subcontract the whole or any part of the Services without the prior consent of the Customer.

5. Customer’s Obligations

5.1 The Customer shall:

  • Ensure that the agreed Attendees attend the Location on the Course Date at the agreed time.

  • Ensure that the Attendees are sufficiently competent and prepared to receive the Services.

  • Comply with, and ensure that Attendees comply with, all reasonable instructions of the Company, and all applicable laws, health and safety requirements, and policies (as notified from time to time).

  • Withdraw any Attendee from attendance at the Location upon the reasonable request of the Company.

  • Pay all Fees on the due dates for payment.

6. Payments

6.1 Payment is due at the time of booking unless otherwise agreed in writing.
6.2 The
Company accepts payment by credit or debit card. On occasion, the Company may also agree to payment via invoice.

6.3 Invoices must be paid within 7 days of issue or before the Course Date (whichever is sooner).

7. Cancellations by the Customer

7.1 Cancellations must be made in writing.
7.2 The following cancellation charges apply:

  • More than 14 days before the Course: Full refund (minus a £15 admin fee)

  • 7–14 days before the Course: 50% of Fee payable

  • Less than 7 days before the Course: 100% of Fee payable

7.3 The Customer may transfer their booking to another person at no additional charge if that person meets the Course entry requirements and the Company is notified of the change as soon as practicable, but no later than one (1) hour prior to the published Course start time.

 

8. Cancellations by the Company 

8.1 The Company reserves the right to cancel or reschedule Courses due to unforeseen circumstances, including but not limited to Trainer/Consultant illness, low enrolments, or events beyond its reasonable control (such as acts of God, natural disasters, war, terrorism, pandemics, government restrictions, strikes, or other labor disputes).

8.2 If a Course is cancelled or rescheduled, the Company will offer an alternative date or a full refund.

8.3 The Company is not liable for any travel, accommodation, or other costs incurred as a result of cancellation.

9. Variations and Substitution

9.1 The Company reserves the right to make changes to programmes, training content, Course Dates, and Locations at any time where necessary.

9.2 The Company also reserves the right to alter Fees in response to prevailing economic circumstances, but will provide the Customer with reasonable notice of any such changes.

9.3 While the Company will use reasonable endeavours to provide the same Trainer/Consultant for the full duration of a Course, this cannot be guaranteed. The Customer accepts that no liability attaches to the Company for the substitution or absence of a specific Trainer/Consultant for all or part of a Course.

10. Attendance and Conduct

10.1 Attendees are expected to attend all sessions punctually and participate fully.
10.2 Disruptive behaviour may result in removal from the
Course without refund.
10.3 It is the
Customer’s responsibility to ensure that Attendees meet any Course entry requirements.

11. Certification

11.1 Certificates will only be issued to participants who have successfully completed the Course and have made full payment of all Fees.

11.2 Certificates will be issued electronically by default. Attendees requesting a hard copy certificate may do so for an additional fee, as determined by the Company.

11.3 Certificates remain the property of the Company and must be returned upon request if issued in error or if the Attendee is found to have breached any terms of this agreement.

11.4 The validity and authenticity of certificates may be verified by the Company at any time.

12. Liability

12.1 Courses are designed to provide training and guidance. The Company is not liable for how knowledge or skills are applied outside the training environment.
12.2 Except as required by law, the
Company’s liability is limited to the Fees paid.

 

13. Data Protection

13.1 Personal data will be processed in accordance with the Company’s Data Protection Policy and Privacy Notice.

14. Governing Law

14.1 These Terms and Conditions are governed by the laws of England and Wales.
